M.I.A. (Mia Intelligent Assistant) End User License Agreement

Section 1. Scope and Applicability

This End User License Agreement ("EULA") between You and T&J Bioengineering (Shanghai) Co., Ltd ("T&J") covers Your use of the M.I.A. (Mia Intelligent Assistant) Software and Cloud Services. This document also incorporates any Product Specific Terms that may apply. Definitions of capitalized terms are in Section 11 (Definitions).

You agree to be bound by the terms of this EULA through (a) Your download, installation, or use of M.I.A.; (b) Your express agreement to this EULA during registration; or (c) Your continued use of M.I.A. services.

If You do not have authority to enter into this EULA or You do not agree with its terms, do not use M.I.A.

Section 2. Data Collection and AI Processing

2.1. Process Data Caching

M.I.A. caches and stores bioreactor process data including but not limited to: temperature readings, pH levels, dissolved oxygen measurements, agitation speeds, flow rates, setpoints, control loop configurations, and other process variables. This data caching is essential to enable AI-powered analysis, trend detection, and intelligent recommendations.

2.2. AI Model Training and Improvement

T&J may use anonymized and aggregated process data collected through M.I.A. for the following purposes:

(a) AI Model Training: Improving the accuracy and capabilities of M.I.A.'s analysis and recommendation systems

(b) Debugging and Quality Assurance: Identifying and fixing software issues, improving system reliability

(c) Feature Development: Developing new features and improving existing functionality

(d) Research and Development: Advancing bioprocess optimization algorithms and AI capabilities

(e) Performance Analytics: Understanding usage patterns to improve user experience

2.3. Conversation History

M.I.A. stores conversation history between users and the AI assistant. This data may be reviewed for quality assurance, debugging purposes, and to improve AI response quality. Conversation data may be used to train and fine-tune AI models.

2.4. Data Retention

Process data and conversation history are retained for the duration of your subscription and may be retained in anonymized form thereafter for the purposes described in Section 2.2.

Section 3. Development Status and Limitations

3.1. Beta/Development Status

M.I.A. is currently in active development and should be considered beta software. The system may contain bugs, errors, incomplete features, or other issues that could affect its reliability and accuracy.

3.2. No Production Use

M.I.A. MUST NOT be used for production bioreactor operations. This includes but is not limited to: critical manufacturing processes, GMP (Good Manufacturing Practice) environments, clinical or pharmaceutical production, and any process where failure could result in significant financial loss, product loss, or safety hazards.

3.3. Human Oversight Required

All AI-generated recommendations, control actions, and analysis results MUST be reviewed and approved by qualified human operators before implementation. M.I.A. is designed to assist operators, not replace human judgment and oversight.

3.4. No Warranty for AI Accuracy

T&J makes no warranty regarding the accuracy, completeness, or reliability of AI-generated recommendations, analysis, or control actions. Users are solely responsible for verifying all AI outputs before acting upon them.

Section 4. Prohibited Uses

You agree NOT to use M.I.A. for any illegal, harmful, or unethical purposes. Prohibited uses include but are not limited to:

4.1. Weapons and Harmful Substances

(a) Development, production, or enhancement of biological weapons or agents

(b) Development, production, or enhancement of chemical weapons

(c) Production of controlled substances or illegal drugs

(d) Any activity that could contribute to weapons of mass destruction

4.2. Illegal Activities

(a) Any activity that violates local, national, or international laws

(b) Circumventing safety regulations or environmental protection requirements

(c) Fraud, money laundering, or other financial crimes

(d) Intellectual property theft or industrial espionage

4.3. Harmful or Unethical Research

(a) Research that violates ethical guidelines for biological research

(b) Experiments that could pose biosafety or biosecurity risks

(c) Any activity that could endanger human health, animal welfare, or the environment

4.4. System Abuse

(a) Attempting to reverse engineer, decompile, or extract AI model weights

(b) Using M.I.A. to develop competing AI systems

(c) Deliberately providing false data to manipulate AI behavior

(d) Attempting to bypass safety features or access controls

(e) Denial of service attacks or other malicious activities targeting the system

Section 5. License and Right to Use

T&J grants You a non-exclusive, non-transferable license to use M.I.A. Software and a right to use M.I.A. Cloud Services, as acquired from an authorized source, for Your direct benefit during the Usage Term and as set out in Your Entitlement and this EULA.

You may permit Authorized Third Parties to exercise the Usage Rights on Your behalf, provided that You are responsible for ensuring that such Authorized Third Parties comply with this EULA and for any breach of this EULA by such parties.

Section 6. Confidential Information

T&J acknowledges that process data and operational information may constitute Your confidential information. T&J will implement reasonable security measures to protect such information and will not disclose identifiable customer data to third parties except as required by law or as necessary to provide M.I.A. services.

When using data for AI training and improvement purposes as described in Section 2.2, T&J will anonymize and aggregate data to remove customer-identifiable information where technically feasible.

Section 7. Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: Neither party will be liable for indirect, incidental, exemplary, special or consequential damages; loss or corruption of data or interruption or loss of business; or loss of revenues, profits, goodwill or anticipated sales or savings.

T&J SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM: (a) AI recommendations or analysis that prove to be inaccurate or unsuitable; (b) decisions made based on M.I.A. outputs; (c) use of M.I.A. in production environments despite warnings; (d) any prohibited use of the system.

The maximum aggregate liability of T&J under this EULA is limited to the fees received by T&J for M.I.A. services attributable to the 12 month period immediately preceding the first event giving rise to such liability.

Section 8. Termination

T&J may immediately terminate Your access to M.I.A. if You breach any provisions of Section 4 (Prohibited Uses) or engage in any activity that T&J reasonably believes may harm T&J, other users, or third parties.

Upon termination, You must cease all use of M.I.A. T&J may retain anonymized data as described in this EULA.

Section 9. General Provisions

9.1. Governing Law

This EULA, and any disputes arising from it, will be governed exclusively by the Laws of the People's Republic of China. The People's Court of Songjiang District, Shanghai has exclusive jurisdiction to adjudicate any dispute arising out of or relating to this EULA.

9.2. Modifications

T&J may modify this EULA by providing notice through M.I.A. or by email. Continued use of M.I.A. after such notice constitutes acceptance of the modified terms.

9.3. Severability

If any portion of this EULA is not enforceable, it will not affect any other terms.

9.4. Entire Agreement

This EULA is the complete agreement between the parties with respect to M.I.A. and supersedes all prior or contemporaneous communications, understandings or agreements.

Section 11. Definitions

"Authorized Third Parties" means Your Users, Your Affiliates, Your third-party service providers, and each of their respective Users permitted to access and use M.I.A. on Your behalf as part of Your Entitlement.

"T&J", "we", "our" or "us" means T&J Bioengineering (Shanghai) Co., Ltd. or its applicable Affiliate(s).

"Entitlement" means the specific metrics, duration, and quantity of M.I.A. services that You commit to acquire from T&J.

"Usage Term" means the period during which You have the right to use M.I.A.

"User" means the individuals permitted to access and use M.I.A. on Your behalf as part of Your Entitlement.

"You" means the individual or legal entity using M.I.A.

Section 12. Acknowledgment

BY CLICKING "I AGREE" OR BY USING M.I.A., YOU ACKNOWLEDGE THAT:

(a) You have read and understood this EULA

(b) You consent to the data collection and AI training practices described herein

(c) You understand that M.I.A. is not for production use

(d) You will not use M.I.A. for any prohibited purposes

(e) You accept all terms and conditions of this EULA
